1. Acceptance of terms
These Terms of Service (“Terms”) describe general conditions for visiting ClokIt USA's public website and using services provided by ClokIt USA, LLC (“ClokIt,” “we,” or “our”). By accessing or using the services, you agree to these Terms and applicable posted policies. If you use ClokIt for an organization, you represent that you have authority to act for that organization as applicable.
Additional terms may apply to paid subscriptions, credits, trials, organizational accounts, or other product functions. Those specific terms govern the related function in the event of a conflict.
2. Description of services
ClokIt provides software and related resources for capturing existing conditions, collecting and organizing building information, preparing reports, and sharing user-selected project records. Some features shown on the public website describe planned or evolving capabilities; descriptions of roadmap items do not guarantee a release date or continuous availability.
ClokIt does not replace the professional judgment, site inspection, code review, licensing, engineering, or certification required for a project's intended use.
3. User accounts and responsibilities
You agree to provide reasonably accurate registration information, maintain the security of your account, and use the service only in compliance with applicable laws and your organization's instructions. Do not access projects or data without authorization, disrupt services, attempt to bypass access controls, or upload harmful or unlawful materials.
Organizations are responsible for managing their members, permissions, and decisions to distribute confidential project information. Contact us promptly if you become aware of unauthorized account activity.
4. Project information and user content
Users and their organizations retain rights they hold in their own drawings, reports, photographs, field notes, and other materials submitted to ClokIt. You confirm that you have the rights and permissions necessary to upload, process, and share those materials and any personal information they contain.
You grant ClokIt the limited permissions necessary to host, process, display, back up, and deliver materials as directed by you or your organization in connection with the service. You control which materials to include in a release or recipient handoff, subject to the service's sharing controls.
5. Intellectual property
The ClokIt brand, interface, software, design, and original website material are owned by ClokIt USA, LLC or its licensors and are protected by applicable law. Except as permitted by law or agreement, these Terms do not give users ownership of ClokIt's software, trademarks, or proprietary methods.
6. Third-party services
ClokIt may link to or integrate with independent services such as Google, Box, hosted infrastructure, or payment processors. Your use of those services may be governed by their own terms and privacy practices. Third-party permissions and sharing settings remain important when delivering project documents or accessing externally hosted files.
7. Availability and updates
We may maintain, repair, modify, suspend, or discontinue features as needed for security, reliability, legal compliance, or ongoing product development. We aim to communicate significant changes where practical, but cannot guarantee uninterrupted or error-free availability.
8. Disclaimers and limitation of liability
To the extent permitted by applicable law, the services are provided on an “as available” basis without warranties beyond those expressly set out in an applicable written agreement. Field measurements, uploaded content, machine-assisted outputs, reports, and project deliverables must be reviewed by the user and any appropriate licensed professionals before reliance.
To the extent permitted by applicable law, ClokIt USA, LLC and its service providers are not responsible for indirect, incidental, special, consequential, or lost-profit damages arising from use of the services. Any applicable liability limitations are subject to consumer protection rules and other rights that cannot lawfully be excluded.
9. Suspension and termination
Accounts may be suspended or terminated for violations of these Terms, security threats, nonpayment under applicable agreements, or other lawful reasons. You may request information about closing an account through our contact page. Access to organizational records and retention of data can depend on the organization's agreement and legal obligations.
10. Governing law
These Terms are intended to operate under applicable laws of the United States and the relevant state jurisdiction, subject to mandatory laws and protections that apply to a user. More specific contractual terms may identify the applicable governing state and dispute-resolution process for a particular business relationship.
11. Questions or concerns
